End
User License Agreement - ________________________________________
Software
The University of Washington
("University") is making available the ______________________________
________________________________ binary code, data, configuration files, and documentation
("Software") to you the "End User" at no charge under the
terms of this License. Software is licensed to the End User and not otherwise
sold or given. In downloading, copying, installing or otherwise using the
Software, the End User agrees to be bound by the following:
1.
Grant.
The University grants
the End User the non-transferable right to use the Software for internal
research purposes only. “Use” means the loading, storing, executing, and
displaying of the Software. “Internal” means for single CPU use within a single
organization at a single site in activities that involve no third parties. Use
in any paid consulting, development, or research activity sponsored by a third
party for-profit organization is outside the scope of this License. The
University expressly reserves to itself all other rights in the Software
including, but not limited to, the right to reproduce and distribute the
Software and the right to create derivative works based on the Software.
2.
Proprietary
Notices.
End User shall respect
and not remove, obliterate, or cancel from view any copyright, trademark,
confidentiality or other proprietary notice, mark, or legend appearing on any
of the Software or output generated by the Software. End User shall reproduce
and include same on each copy of the Software or output generated by the
Software.
3.
No
Reverse Engineering.
Unless specifically
permitted by applicable law, End User shall not reverse engineer, disassemble,
or decompile the Software or any portion thereof, nor shall End User use the
Software to reverse engineer, disassemble, or decompile third party software.
4.
Ownership.
All copies of the
Software in any form provided by University or made by End User are the sole
property of the University. End User
shall not have any right, title, or interest to any such Software or copies
thereof except as provided in this License. End User shall secure and protect
all Software and documentation consistent with maintenance of the University's
proprietary rights therein.
5.
Disclaimer
of Warranty.
The University
warrants that it has the right to grant the license specified herein. THE EXPRESS WARRANTY STATED IMMEDIATELY
ABOVE IS GIVEN IN LIEU OF ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE. The University makes no representation
that the Software does not infringe third party patent, copyright, trademark,
or other proprietary rights. The University does not warrant that the operation
of the program will be uninterrupted or error-free.
6.
Software
provided AS IS.
The Software is
experimental in nature and is supplied AS IS, without obligation by the
University to provide accompanying services or support. No support for Software
is being provided under this License.
7.
Limitation
of Liability.
The University shall
not be liable for any costs, damages, fees, or other liability, nor for any
direct, indirect, special, incidental, or consequential damages with respect to
any claim by the End User or any third party on account of or arising from this
License or use of (or inability to use) any portion of the Software.
8.
Termination.
Failure to comply with the terms and conditions of this License terminates all rights granted by the University to the End User.
